(ADSs)\u3002\u7f8e\u56fd\u5b58\u6258\u51ed\u8bc1\u662f\u4e00\u79cd\u4ee3\u8868\u88ab\u79f0\u4e3a\u7f8e\u56fd\u5b58\u6258\u80a1\u4efd\u7684\u53ef\u6d41\u901a\u51ed\u8bc1\uff0c\u4e5f\u4ee3\u8868\u76f8\u5173\u7684\u5916\u56fd\u80a1\u7968\u3002\u7f8e\u56fd\u5b58\u6258\u80a1\u4efd\u57fa\u672c\u4e0a\u662f\u7531\u53d7\u6258\u65b9\u7684\u7f8e\u56fd\u94f6\u884c\u53d1\u884c\u3002\u7136\u540e\u53d7\u6258\u65b9\u62e5\u6709\u4e00\u56fd\u5916\u4ee3\u7406\u94f6\u884c\uff0c\u5373\u6258\u7ba1\u65b9\uff0c\u8d1f\u8d23\u4fdd\u7ba1\u76f8\u5173\u7684\u5916\u56fd\u80a1\u7968\u3002\u7edd\u5927\u90e8\u5206\u56fd\u5916\u53d1\u884c\u5546\u5728\u7f8e\u56fd\u53d1\u884c\u5176\u80a1\u7968\u91c7\u7528\u7684\u90fd\u662f\u7f8e\u56fd\u5b58\u6258\u51ed\u8bc1\u5f62\u5f0f\u3002<\/p>\n<figure style=\"text-align: justify;\">\u7f8e\u56fd\u5b58\u6258\u51ed\u8bc1\u4e3a\u5916\u56fd\u53d1\u884c\u5546\u548c\u7f8e\u56fd\u6295\u8d44\u8005\u63d0\u4f9b\u4e86\u51e0\u65b9\u9762\u7684\u597d\u5904\u3002\u7b2c\u4e00\uff0c\u5176\u907f\u514d\u4e86\u5728\u7f8e\u56fd\u4e0e\u5176\u5b83\u56fd\u5bb6\u7684\u6e05\u7b97\u7cfb\u7edf\u4e4b\u95f4\u80a1\u4efd\u8fc7\u6237\u6240\u5e38\u9047\u5230\u7684\u56f0\u96be;\u7f8e\u56fd\u5b58\u6258\u51ed\u8bc1\u53ef\u7c7b\u4f3c\u7f8e\u56fd\u56fd\u5185\u80a1\u7968\u8fdb\u884c\u8fc7\u6237\uff0c\u65e0\u9700\u8003\u8651\u5916\u56fd\u8fc7\u6237\u7a0b\u5e8f\u3002\u7b2c\u4e8c\uff0c\u9274\u4e8e\u6bcf\u5f20\u7f8e\u56fd\u5b58\u6258\u51ed\u8bc1\u53ef\u80fd\u4ee3\u8868\u7684\u662f\u4e00\u4efd\u6216\u591a\u4efd\u5b58\u6258\u80a1\u4efd (\u751a\u81f3\u4ec5\u4ee3\u8868\u4e00\u4efd\u5b58\u6258\u80a1\u4efd\u7684\u4e00\u90e8\u5206)\uff0c\u5982\u679c\u5176\u4ee3\u8868\u7684\u76f8\u5173\u80a1\u4efd\u6309\u7f8e\u5143\u8ba1\u7b97\u7684\u5e02\u4ef7\u51fa\u73b0\u5f02\u5e38\u9ad8\u6216\u4f4e\u7684\u60c5\u51b5\u65f6\uff0c\u7f8e\u56fd\u5b58\u6258\u51ed\u8bc1\u6709\u52a9\u4e8e\u7b26\u5408\u6709\u5173\u53d1\u884c\u8bc1\u5238\u4ef7\u683c\u7684\u6700\u4f4e\u4e0a\u5e02\u4ef7\u683c\u8981\u6c42\u548c\u5e02\u573a\u9884\u671f\u3002\u5982\u679c\u7f8e\u56fd\u5b58\u6258\u51ed\u8bc1\u4ee3\u8868\u4e86\u591a\u4efd\u76f8\u5173\u7f8e\u56fd\u5b58\u6258\u80a1\u4efd\uff0c\u53e6\u4e00\u597d\u5904\u5c31\u662f\u8bc1 \u5238\u7684\u4e0a\u5e02\u8d39\u7528\u8f83\u4f4e\uff0c\u56e0\u4e3a\u8fd9\u79cd\u4e0a\u5e02\u8d39\u7528\u901a\u5e38\u662f\u6309\u4e0a\u5e02\u8bc1\u5238\u7684\u6570\u91cf\u8ba1\u7b97\u7684\u3002\u7b2c\u4e09\uff0c\u6295\u8d44\u7f8e\u56fd\u5b58\u6258\u51ed\u8bc1\u53ef\u907f\u514d\u7f8e\u56fd\u6295\u8d44\u8005\u6295\u8d44\u4ec5\u4ee5\u4e0d\u8bb0\u540d\u65b9\u5f0f\u63d0\u4f9b\u7684\u5916\u56fd\u80a1\u4efd\u65f6\u6240\u9047\u5230\u7684\u95ee\u9898\uff0c\u5176\u4e2d\u5305\u62ec\u83b7\u53d6\u80a1\u606f\u4fe1\u606f (\u901a\u5e38\u53ea\u5728\u5916\u56fd\u62a5\u7eb8\u4e0a\u516c\u5e03) \u4ee5\u53ca\u7b26\u5408\u6709\u5173\u6700\u4f4e\u6301\u6709\u4eba\u6570\u91cf\u7684\u4e0a\u5e02\u6807\u51c6\u7684\u56f0\u96be\u3002\u7b2c\u56db\uff0c\u80a1\u606f\u7531\u53d7\u6258\u65b9\u6536\u53d6\uff0c\u4ece\u5f53\u5730\u8d27\u5e01\u6362\u7b97\u6210\u7f8e\u5143\u540e\u652f\u4ed8\u7ed9\u7f8e\u56fd\u6295\u8d44\u8005\u3002<\/p>\n<p style=\"text-align: justify;\">\u7f8e\u56fd\u5b58\u6258\u51ed\u8bc1\u8ba1\u5212\u5206\u4e09\u4e2a\u7ea7\u522b\u3002\u7b2c\u4e00\u7ea7\u8ba1\u5212\u5141\u8bb8\u5728\u7f8e\u56fd\u573a\u5916\u4ea4\u6613\u5e02\u573a\u5bf9\u5916\u56fd\u53d1\u884c\u5546\u5728\u5916\u56fd\u80a1\u7968\u4ea4\u6613\u6240\u4e70\u5356\u7684\u8bc1\u5238\u8fdb\u884c\u4e70\u5356\u3002\u7b2c\u4e8c\u7ea7\u8ba1\u5212\u662f\u6307\u5728\u7f8e\u56fd\u4ea4\u6613\u6240\u4e0a\u5e02\uff0c\u4f46\u4e0d\u5728\u7f8e\u56fd\u5883\u5185\u52df\u96c6\u8d44\u672c\u3002\u7b2c\u4e09\u7ea7\u8ba1\u5212\u662f\u5728\u7f8e\u56fd\u516c\u5f00\u53d1\u884c\u4ee5\u52df\u96c6\u8d44\u672c\u5e76\u4e14\u5728\u7f8e\u56fd\u4ea4\u6613\u6240\u4e0a\u5e02\u3002<\/p>\n<p style=\"text-align: justify;\">\u53d1\u884c\u5546\u901a\u8fc7\u7b2c\u4e09\u7ea7\u7f8e\u56fd\u5b58\u6258\u51ed\u8bc1\u8ba1\u5212 \u5728\u7f8e\u56fd\u516c\u5f00\u53d1\u884c\u80a1\u7968\u65f6\uff0c\u4ece\u6280\u672f\u4e0a\u8bf4\uff0c\u53d1\u884c\u5546\u53d1\u884c\u4e24\u7c7b\u80a1\u7968 \u2013 \u76f8\u5173\u80a1\u4efd\u548c\u7f8e\u56fd\u5b58\u6258\u80a1\u4efd \u2013 \u4e24\u8005\u90fd\u5fc5\u987b\u6309\u7167 1933 \u5e74\u300a\u8bc1\u5238\u6cd5\u6848\u300b(\u4ee5\u4e0b\u7b80\u79f01933\u5e74\u6cd5\u6848) \u8fdb\u884c\u767b\u8bb0\u6ce8\u518c\u3002\u5bf9\u9996\u6b21\u53d1\u884c\u7684\u5916\u56fd\u53d1\u884c\u5546\u6765\u8bf4\uff0c\u76f8\u5173\u80a1\u4efd\u4f7f\u7528 F-1 \u8868\u767b\u8bb0\uff0c\u7f8e\u56fd\u5b58\u6258\u80a1\u4efd\u4f7f\u7528 F-6 \u8868\u767b\u8bb0\u3002F-1 \u8868\u767b\u8bb0\u8bf4\u660e\u5305\u62ec\u672a\u6765\u6295\u8d44\u8005\u53ef\u83b7\u53d6\u7684\u62ab\u9732\u6587\u4ef6\uff0c\u5373\u52df\u80a1\u8bf4\u660e\u4e66\uff0cF-6 \u8868\u57fa\u672c\u4e0a\u4e3a\u5b58\u6258\u534f\u8bae\u3002\u6839\u636e\u8be6\u7ec6\u7684\u8bc1\u5238\u4ea4\u6613\u59d4\u5458\u4f1a\u6761\u4f8b\uff0c\u53d1\u884c\u5546\u5fc5\u987b\u62ab\u9732\u4e00\u4e9b\u4fe1\u606f\uff0c\u5305\u62ec\u53d1\u884c\u5546\u7684\u4e1a\u52a1\u3001\u5176\u7ba1\u7406\u3001\u8463\u4e8b\u4f1a\u53ca\u6240\u53d1\u884c\u7684\u8bc1\u5238\u3002\u53e6\u5916\u8fd8\u987b\u5305\u62ec\u53d1\u884c\u5546\u7684\u8d22\u52a1\u62a5\u8868\u53ca\u4e0e\u8d22\u52a1\u72b6\u51b5\u548c\u8fd0\u8425\u4e1a\u7ee9\u6709\u5173\u7684\u62ab\u9732\u4fe1\u606f\u3002\u5bf9\u9996\u6b21\u53d1\u884c\u5546\u6765\u8bf4\uff0c\u51c6\u5907 F-1 \u8868\u7684\u7a0b\u5e8f\u6bd4\u8f83\u8d39\u65f6\u3002\u53d1\u884c\u5546\u53ca\u5176\u6cd5\u5f8b\u987e\u95ee\u3001\u5305\u9500\u5546\u53ca\u5176\u6cd5\u5f8b\u987e\u95ee\u8fd8\u6709\u4f1a\u8ba1\u5e08\u7b49\u90fd\u9700\u8981\u53c2\u4e0e\u8349\u62df\u9636\u6bb5\uff0c\u901a\u5e38\u8fd9\u4e2a\u9636\u6bb5\u9700\u65f6\u56db\u81f3\u516b\u5468\u3002<\/p>\n<h2 style=\"text-align: justify;\"><span style=\"color: #ff0000;\"><strong>\u6cd5\u5f8b\u7a0b\u5e8f\u548c\u8981\u6c42<\/strong><\/span><\/h2>\n<p style=\"text-align: justify;\">\u9996\u6b21\u53d1\u884c\u5546\u6240\u63d0\u4ea4\u7684\u6240\u6709\u6ce8\u518c\u8bf4\u660e\u57fa\u672c\u90fd\u4f1a\u7531\u7f8e\u56fd\u8bc1\u5238\u4ea4\u6613\u59d4\u5458\u4f1a\u4eba\u5458\u8fdb\u884c\u8be6\u7ec6\u5ba1\u67e5\u3002\u8bc1\u5238\u4ea4\u6613\u59d4\u5458\u4f1a\u5ba1\u67e5\u7684\u7126\u70b9\u5728\u4e8e\u662f\u5426\u9075\u5b88\u8054\u90a6\u8bc1\u5238\u6cd5\u4fe1\u606f\u62ab\u9732\u7684\u8981\u6c42\uff0c\u800c\u975e\u8be5\u6b21\u53d1\u884c\u7684\u4f18\u52bf\u6216\u53d1\u884c\u5546\u7684\u4e1a\u52a1\u72b6\u51b5\u3002\u6309\u7167\u653f\u7b56\uff0c\u5982\u679c\u975e\u7f8e\u56fd\u53d1\u884c\u5546\u9996\u6b21\u8fdb\u884c\u767b\u8bb0\u7533\u62a5\u5236\u5ea6\uff0c\u7f8e\u56fd\u8bc1\u5238\u4ea4\u6613\u59d4\u5458\u4f1a\u4eba\u5458\u5c06\u63a5\u53d7\u5176\u8349\u62df\u7684\u6ce8\u518c\u8bf4\u660e\uff0c\u5728\u4fdd\u5bc6\u57fa\u7840\u4e0a\u8fdb\u884c\u5ba1\u67e5\u3002\u9996\u6b21\u516c\u5f00\u53d1\u884c\u4ee5\u53ca\u9996\u6b21\u5728\u4ea4\u6613\u6240\u4e0a\u5e02\u4f46\u5e76\u4e0d\u53d1\u552e\u8bc1\u5238 \u7684\u60c5\u51b5\u90fd\u53ef\u8fd0\u884c\u8fd9\u4e00\u975e\u6b63\u5f0f\u7a0b\u5e8f\u3002<\/p>\n<p style=\"text-align: justify;\">\u9664\u4e86\u4e0a\u8ff0\u6309\u7167 1933 \u5e74\u6cd5\u6848\u8981\u6c42\u7684\u767b\u8bb0\u8bf4\u660e\u4ee5\u5916\uff0c\u53d1\u884c\u5546\u7684\u80a1\u4efd\uff0c\u5305\u62ec\u7f8e\u56fd\u5b58\u6258\u51ed\u8bc1\u4ee3\u8868\u7684\u80a1\u4efd\uff0c\u5728\u7f8e\u56fd\u8bc1\u5238\u4ea4\u6613\u6240\u4e0a\u5e02\u4e4b\u524d\uff0c\u5fc5\u987b\u6309 1934 \u5e74\u300a\u8bc1\u5238\u4ea4\u6613\u6cd5\u6848\u300b (\u4ee5\u4e0b\u79f0 1934 \u5e74\u6cd5\u6848) \u7b2c 12 \u6761\u8fdb\u884c\u767b\u8bb0\u6ce8\u518c\u3002\u5982\u679c\u5728\u7f8e\u56fd\u8bc1\u5238\u4ea4\u6613\u6240\u4e0a\u5e02\uff0c\u53d1\u884c\u5546\u5fc5\u987b\u6ee1\u8db3\u9996\u6b21\u53d1\u884c\u53ca\u518d\u7eed\u53d1\u884c\u7684\u8981\u6c42\uff0c\u5305\u62ec\u5404\u79cd\u8d22\u52a1\u53ca\u516c\u53f8\u6cbb\u7406\u8981\u6c42\u3002<\/p>\n<p style=\"text-align: justify;\">\u4e00\u65e6\u5916\u56fd\u53d1\u884c\u5546\u5b8c\u6210\u5728\u7f8e\u56fd\u4e0a\u5e02\u548c\u53d1\u884c\u5176\u80a1\u7968\uff0c\u5fc5\u987b\u6309\u8868 20-F \u53ca\u8868 6-K \u516c\u5e03\u5e74\u62a5\u548c\u4e2d\u671f\u62a5\u544a\u30022008 \u5e74\uff0c\u8bc1\u5238\u4ea4\u6613\u59d4\u5458\u4f1a\u53d8\u66f4\u4e86\u90e8\u5206\u89c4\u5219\uff0c\u5c06\u4f1a\u5f71\u54cd\u8868 20-F \u5c06\u5e74\u62a5\u63d0\u4ea4\u671f\u9650\u7f29\u77ed\u81f3\u5916\u56fd\u53d1\u884c\u5546\u8d22\u653f\u5e74\u5ea6\u540e\u56db\u4e2a\u6708\u5185\uff0c(\u8be5\u89c4\u5219\u9002\u7528\u4e8e2011 \u5e74 12 \u6708 15 \u65e5\u6216\u5176\u540e\u5b8c\u7ed3\u7684\u8d22\u653f\u5e74\u5ea6)\u3002<\/p>\n<p style=\"text-align: justify;\">\u81f3\u4e8e\u5b9a\u671f\u62a5\u544a\u7684\u5185\u5bb9\u3001\u5bf9\u5916\u56fd\u53d1\u884c\u5546\u8d22\u52a1\u62a5\u8868\u7684\u8981\u6c42\uff0c\u4ee5\u53ca2002\u5e74\u300a\u8428\u73ed\u65af\u6cd5\u6848\u300b (Sarbanes-Oxley Act) \u4e2d\u9002\u7528\u4e8e\u5916\u56fd\u79c1\u6709\u53d1\u884c\u5546\u7684\u6761\u6b3e\uff0c\u90fd\u5c06\u5728\u4ee5\u540e\u7684\u6587\u7ae0\u4e2d\u63a2\u8ba8\u3002<\/p>\n<p
