Introduction
Rose Zhu has extensive experience in cross-border transactions, some of which are high-profile, ground-breaking ones. Leveraging on her 20-plus years of experience with the world’s highest-ranking Wall Street practice, she advises the largest companies on the most complex deals in the US and China.
Zhu’s practice concentrates on capital markets, mergers and acquisitions, and financings. Within capital markets, she has led debt and equity offerings for a wide range of industries, and on markets including the NYSE, Nasdaq and SEHK. Her marquee deals include the multibillion-dollar IPOs of Agricultural Bank of China, China Construction Bank, and Guodian Technology; and large-scale or complicated debt offerings for various companies at Sinochem, HNA and high-yield issuers (including MTN programme establishments, greenfield high-yield offerings and debt tender offers), acting for issuers or bulge-bracket investment banks.
For M&A, Zhu has led outbound and inbound transactions including stock and asset, private and public, and friendly and hostile transactions. Her high-profile transactions include: transactions for listed companies at Cofco; proposed acquisitions for Sinochem of listed targets with reach in more than 20 jurisdictions; Bank of China’s proposed transactions over financial institutions with complex regulatory landscapes; Minmetals’ strategic restructuring with Metallurgical Group; and investments by prominent PE shops.
An expert on the foreign legal experts panel of the China Banking Regulatory Commission, her bank financing experience includes a variety of secured and syndicated lending transactions, with a focus on leveraged financing. Her notable deals include: Citic Bank’s financing to a Hillhouse-led group for its taking-private transaction of Belle International; China Development Bank’s loans in several Belt and Road countries; Citic Bank’s financing of HNA Tourism for its acquisition of Carlson Hotels; GF Investment’s financing to a PE-led consortium for its acquisition of a biotech company in multiple jurisdictions; Chase’s financing of US companies for their acquisitions; and Citibank’s financing with complex lending arrangements.

Zhu is a speaker at various professional conferences, and was quoted by Caijin, Caixin, IFLR and Finance Asia. She graduated with honours, with a JD degree from Stanford Law School, among others.
