Fangda Partners represented Gree Electric Appliances, Inc. of Zhuhai (“Gree Electric “, stock code: 000651.SZ) in its controlling acquisition of Zhejiang Dun’an Artificial Environment Co., Ltd. (“DUN’AN”, stock code:002011.SZ). The transaction was announced on November 17, 2021.The transaction will be implemented by means of negotiated transfer and non-public offering of A-shares. Upon completion, Gree Electric will hold a total of 38.78% shares in DUN’AN, which include: (1) 29.48% shares from negotiate transfer, with a transaction price of RMB2.19 billion; (2) 9.3% shares from non-public offering, with a transaction price of RMB810 million. Fangda fully involved in this project, participating in due diligence, negotiation of transaction documents, merger control filing and information disclosure.
